WAIVER, RELEASE OF LIABILITY, ASSUMPTION OF RISK, AND PAYMENT TERMS AGREEMENT

This Waiver, Release of Liability, Assumption of Risk, and Payment Terms Agreement (“Agreement”) is entered into between GRPL LLC, a Colorado limited liability company (d/b/a GRPL HAUS) (“GRPL”) , and the undersigned participant, on behalf of themselves and, if applicable, their minor child(ren) and family members.

By signing below, I acknowledge and agree as follows:

a) Assumption of Risk: I acknowledge that all activities conducted on the premises, including martial arts and other contact sports, are physically, mentally, and emotionally demanding and involve inherent risks of injury. These risks include, but are not limited to, minor injuries such as scratches, bruises, and sprains; serious injuries such as eye injuries or loss of sight, joint or back injuries, heart attacks, and concussions; and catastrophic injuries, including paralysis or death.

I understand that these risks may arise from my own actions or inactions, the actions or inactions of others, the condition of the training environment, the use of equipment, or other unforeseen factors.

I voluntarily assume all such risks and accept full responsibility for any injuries, damages, or losses I or my child(ren) may sustain, including but not limited to personal injury, property damage or loss, loss of wages, loss of earning capacity, or other related losses.

b) Skin Infections / Communicable Diseases: I acknowledge that participation in GRPL activities involve close physical contact and carries a risk of exposure to skin infections, MRSA, communicable diseases, bacteria, and viruses, including but not limited to COVID-19.

I agree that if I or my child(ren) am/is experiencing any symptoms of illness or infection, I/we will not enter the premises and understand that I/we may be asked to leave if such symptoms are observed.

I acknowledge and agree that GRPL is not responsible for the contraction or transmission of any such infections or diseases.

c) Release of Liability and Indemnification: I agree, for myself and on behalf of my minor child(ren), to knowingly and voluntarily waive, release, and forever discharge GRPL and its owners, officers, coaches, employees, contractors, agents, and staff from any and all claims, demands, liabilities, actions, or causes of action of any kind, whether known or unknown, arising out of or related to participation in any GRPL classes, events, or activities.

This includes, without limitation, claims for personal injury, illness, property damage or loss, or any other damages, including those resulting from the negligence of GRPL or its representatives, to the fullest extent permitted by Colorado law.

I further agree to indemnify, defend, and hold harmless GRPL and its representatives from and against any and all claims, demands, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to my or my child(ren)’s participation, including but not limited to claims brought by or on behalf of my child(ren) or any third party.

d) Medical Treatment & Disclaimer: I understand that GRPL does not provide medical advice, diagnosis, or treatment. I acknowledge that GRPL may assist in contacting emergency services if necessary but does not provide transportation to medical facilities and assumes no responsibility for any medical care provided.

I acknowledge that participation is at my own risk and that I am solely responsible for my own and my child(ren)’s medical care and decisions.

In the event that I or my minor child(ren) is unable to make informed medical decisions due to an emergency, I authorize GRPL to seek emergency medical treatment as deemed reasonably necessary, and I agree to be responsible for any costs incurred.

I hereby waive, release, and discharge GRPL from any and all claims arising out of or related to such emergency medical care.

e) Off-Site Activities and Third-Party Events: I acknowledge that GRPL may organize, sponsor, or recommend participation in activities that take place outside of its premises, including but not limited to tournaments, competitions, seminars, camps, or other events hosted by third parties.

I understand and agree that such events are operated and controlled by independent organizations, and not by GRPL. I acknowledge that participation in these activities carries additional risks, including but not limited to travel-related risks, unfamiliar environments, differing rules or safety standards, and actions or inactions of third-party organizers or participants.

I agree that GRPL and its owners, officers, coaches, employees, contractors, agents, and staff shall not be responsible or liable for any injuries, damages, losses, or claims arising out of or related to participation in any such off-site or third-party activities, to the fullest extent permitted by law.

I further agree that all waivers, releases, assumption of risk, and indemnification provisions contained in this Agreement shall apply equally to such off-site and third-party activities.

f) Media Release: I grant GRPL permission to photograph, record, or video me and/or my child(ren) during participation in GRPL activities. I understand that such media may be used for promotional, marketing, or educational purposes without compensation or approval.

I waive any rights to such media and release GRPL from any claims related to its use, including claims for defamation, invasion of privacy, or infringement of publicity rights.

g) Conduct, Recording & Surveillance: I understand that GRPL reserves the right to refuse service to any individual for any reason.

I agree not to photograph or record classes for commercial purposes without prior written consent. If permission is granted, I will not post images or videos of minors outside my household without parental consent.

I acknowledge that surveillance cameras may be in use for safety, security, and quality control, and I consent to being recorded.

h) Payment Terms: I agree to maintain a valid payment method on file and authorize GRPL to charge all applicable membership fees and purchases. I understand that Membership fees are non-refundable

i) Rules and Policies: I agree to review and adhere to the member policies which are available at all times in the footer of the GRPL website.

j) Severability: If any provision of this Agreement is found to be invalid or unenforceable, it shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

k) Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior oral or written agreements.

I understand that I am giving up substantial legal rights by signing this Agreement.

Minor Participants: If the participant is a minor, the undersigned parent or legal guardian represents that they have the legal authority to enter into this Agreement on behalf of the minor and agrees to all terms on behalf of the minor and any accompanying family members.

Governing Law:  This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado.
